LexAmp Developer API Terms of Service

These Developer API Terms of Service ("API Terms") govern your access to and use of the LexAmp Application Programming Interface ("API"). These API Terms constitute a legally binding agreement between you ("Developer," "you," or "your") and Amplimit Inc. ("Company," "we," "us," or "our").
These API Terms apply only to use of the LexAmp API and do not apply to LexAmp services used by consumers or individuals, which are governed by our general Terms of Service.
BY ENABLING DEVELOPER MODE, GENERATING AN API KEY, OR MAKING ANY API REQUEST, YOU AGREE TO BE BOUND BY THESE API TERMS. IF YOU DO NOT AGREE, DO NOT ACCESS OR USE THE API.
1. Relationship to Other Agreements
1.1 Order of Precedence
These API Terms incorporate by reference and are subject to the following documents (collectively, the "Agreement"):
- These Developer API Terms of Service (this document)
- The LexAmp Privacy Policy
- The LexAmp Acceptable Use Policy (if applicable)
To the extent of any conflict or inconsistency between these documents, the order of precedence listed above shall apply, with these API Terms taking priority.
1.2 Consumer Terms
These API Terms are separate from and in addition to the general Terms of Service that govern consumer use of LexAmp. If you also use LexAmp as a consumer, the general Terms of Service continue to apply to that use. These API Terms govern only your use of the API.
2. Definitions
In these API Terms, the following definitions apply:

"API" means the LexAmp application programming interface, including all associated endpoints, documentation, SDKs, sample code, and related materials we make available.

"API Credits" or "Balance" means the prepaid monetary value in your Developer Account used to pay for API usage.

"API Data" means all data, content, and information accessible through or returned by the API, including Output.

"API Key" means the unique authentication credential issued to you to access the API.
-
"Customer Application" means any application, product, service, or website developed by you that integrates with or uses the API.

"Developer Account" means the account you create to access the API, including Developer Mode enabled on your LexAmp account.

"Documentation" means the technical documentation, guides, and specifications for the API available at https://lexamp.net/docs/api or such other URL as we may designate.
-
"End User" means any individual or entity that accesses or uses your Customer Application.
-
"Input" means any data, content, or information you or your End Users submit to the API.
-
"Output" means any data, content, or information returned by the API in response to Input, including AI-generated responses.

"Rate Limits" means the limitations on API requests as set forth in Section 7.
-
"Usage Fees" means the fees charged for API usage as set forth in Section 6.
3. API License
3.1 License Grant
Subject to your compliance with these API Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to:
(a) Access and use the API solely in accordance with the Documentation;
(b) Integrate the API into Customer Applications; and
(c) Make Customer Applications available to End Users.
3.2 License Restrictions
You shall not, and shall not permit any third party to:
(a) Use the API except as expressly permitted under these API Terms;
(b) License, sell, rent, lease, transfer, assign, distribute, or otherwise commercially exploit or make available to any third party the API or any API Key;
(c) Reverse engineer, disassemble, decompile, decode, adapt, or otherwise attempt to derive or gain access to the source code of the API, in whole or in part;
(d) Use the API to develop any product or service that competes with LexAmp;
(e) Use the API in any manner that could disable, overburden, damage, or impair the API or interfere with any other party's use of the API;
(f) Use any robot, spider, scraper, or other automated means to access the API for any purpose without our express written permission;
(g) Circumvent, disable, or otherwise interfere with security-related features of the API or features that prevent or restrict use or copying of any API Data;
(h) Use Output to train, improve, or develop any machine learning model, artificial intelligence system, or similar technology without our prior written consent;
(i) Remove, alter, or obscure any proprietary notices on the API or in the Documentation;
(j) Use the API for any purpose that is unlawful or prohibited by these API Terms.
3.3 Reservation of Rights
We reserve all rights not expressly granted in these API Terms. The API is licensed, not sold. We retain all right, title, and interest in and to the API, including all related intellectual property rights.
4. Developer Account
4.1 Account Registration
To access the API, you must:
(a) Have a valid LexAmp account in good standing;
(b) Enable Developer Mode in your account settings;
(c) Provide accurate and complete registration information;
(d) Accept these API Terms.
4.2 Account Eligibility
You represent and warrant that:
(a) You are at least eighteen (18) years of age or the age of legal majority in your jurisdiction;
(b) You have the legal capacity to enter into these API Terms;
(c) If you are entering into these API Terms on behalf of an organization, you have the authority to bind that organization to these API Terms;
(d) All information you provide is accurate, current, and complete.
4.3 Account Responsibility
You are solely responsible for:
(a) Maintaining the confidentiality of your Developer Account credentials;
(b) All activities that occur under your Developer Account;
(c) Notifying us immediately of any unauthorized use of your account.
5. API Keys and Security
5.1 API Key Issuance
Upon enabling Developer Mode, you may generate one or more API Keys through your Developer Account. Each API Key is unique to your account and must be used in accordance with these API Terms.
5.2 API Key Security
YOU ARE SOLELY RESPONSIBLE FOR THE SECURITY OF YOUR API KEYS. You agree to:
(a) Keep all API Keys strictly confidential;
(b) Not share, publish, distribute, or disclose any API Key to any third party;
(c) Not embed API Keys in client-side code, public repositories, mobile applications, or any location accessible to End Users or the public;
(d) Implement appropriate technical and organizational measures to protect API Keys from unauthorized access;
(e) Use secure methods (such as environment variables or secure vaults) to store API Keys;
(f) Immediately rotate any API Key that you suspect has been compromised;
(g) Notify us immediately upon discovery of any unauthorized use or disclosure of an API Key.
5.3 API Key Restrictions
You shall not:
(a) Use API Keys for multiple distinct applications without our prior written consent;
(b) Transfer, sell, share, or otherwise provide API Keys to any third party;
(c) Attempt to derive, reverse engineer, or decrypt any API Key;
(d) Create derivative credentials based on API Keys.
5.4 API Key Revocation
We may revoke, suspend, or disable any API Key at any time, with or without notice, if:
(a) We suspect the API Key has been compromised;
(b) You breach these API Terms;
(c) We detect suspicious, fraudulent, or abusive activity;
(d) We determine, in our sole discretion, that continued use poses a security risk.
5.5 Audit Logging
We maintain audit logs of API Key operations, including creation, rotation, revocation, and usage. These logs are retained for security, compliance, and billing purposes. By using the API, you consent to this logging.
6. Usage Fees and Billing
6.1 Pricing
API usage is billed on a consumption basis according to the following schedule:

Token counts are calculated based on the actual tokens processed by the underlying AI model. You can monitor your token usage in real-time through your Developer Dashboard.
Prices are subject to change upon thirty (30) days' prior notice. The current pricing is always available in the Documentation and your Developer Dashboard.
6.2 Pricing Tiers
API access is available in the following tiers:

All paid tiers (Starter, Pro, Enterprise) use the same per-token pricing. The Free tier includes 100 free requests per month with limited functionality. Enterprise tier customers may negotiate custom pricing and rate limits.
6.3 API Credits
(a) Prepaid Balance. You must maintain a positive API Credit balance to use the API. When your balance reaches zero, API access will be suspended until you add additional credits.
(b) Minimum Top-Up. The minimum top-up amount is $5.00 USD.
(c) Non-Refundable. API Credits are non-refundable, non-transferable, and cannot be exchanged for cash.
(d) No Expiration. API Credits do not expire as long as your account remains active and in good standing.
(e) No Interest. API Credits do not accrue interest.
6.4 Billing
(a) Real-Time Deduction. Usage Fees are deducted from your API Credit balance in real-time as API requests are processed.
(b) Transaction History. Detailed transaction history, including timestamp, service type, token counts, cost, and running balance, is available in your Developer Dashboard.
(c) Billing Disputes. Any billing disputes must be raised within thirty (30) days of the disputed charge. Disputes not raised within this period are waived.
6.5 Payment Processing
All payments are processed by Stripe, Inc., a third-party payment processor. By making payments, you agree to Stripe's terms of service. We do not store complete payment card information.
6.6 Taxes
All fees are exclusive of applicable taxes. You are responsible for all taxes, duties, and other governmental charges associated with your use of the API, excluding taxes based on our net income.
7. Rate Limits
7.1 Rate Limit Schedule
The API is subject to rate limits based on your pricing tier (see Section 6.2):

Rate limits may be adjusted at our discretion. Current limits are documented in the API Documentation and your Developer Dashboard.
7.2 Rate Limit Enforcement
(a) When you exceed rate limits, the API will return HTTP 429 (Too Many Requests) responses.
(b) Repeated or intentional rate limit violations may result in temporary or permanent suspension of API access.
(c) You shall not attempt to circumvent, bypass, or manipulate rate limits through any means, including but not limited to using multiple API Keys, multiple accounts, or distributed requests.
7.3 Increased Limits
If you require higher rate limits, you may contact us at [email protected] to discuss enterprise arrangements. Increased limits may be subject to additional terms and fees.
8. Customer Applications
8.1 Application Requirements
Customer Applications that use the API must:
(a) Comply with all applicable laws and regulations;
(b) Comply with these API Terms and all incorporated documents;
(c) Clearly identify the Customer Application in API requests via appropriate User-Agent headers;
(d) Include a privacy policy that accurately describes data collection, use, and sharing practices;
(e) Include terms of service that govern End User use of the Customer Application;
(f) Not misrepresent the Customer Application's relationship with LexAmp or Amplimit Inc.
8.2 End User Terms
You are responsible for ensuring that your End Users comply with all applicable laws and these API Terms. Your agreement with End Users must:
(a) Be at least as protective of our rights as these API Terms;
(b) Disclaim warranties and limit liability to the extent permitted by law;
(c) Clearly disclose that the Customer Application uses third-party services;
(d) Prohibit End Users from violating these API Terms.
8.3 Attribution
Unless otherwise agreed in writing, Customer Applications shall include the following attribution in a reasonably prominent location:
"Powered by LexAmp"
You may not use our trademarks, logos, or brand elements except as expressly permitted in writing.
9. Input and Output
9.1 Your Input
You retain all right, title, and interest in and to Input that you submit to the API. By submitting Input, you grant us a limited, non-exclusive, royalty-free license to use, process, and store the Input solely for the purpose of providing the API and related services.
9.2 Output Ownership
Subject to Section 9.3, Output generated in response to your Input is owned by you. You may use Output for any lawful purpose in accordance with these API Terms.
9.3 Output Limitations
(a) No Exclusivity. Output is generated by AI models that may produce similar or identical output for other users. We make no representations regarding the uniqueness of Output.
(b) No Guarantee. We do not guarantee that Output will be accurate, complete, current, error-free, or fit for any particular purpose.
(c) Legal Disclaimer. Output does not constitute legal advice. See Section 10 for important disclaimers.
9.4 Prohibited Input
You shall not submit Input that:
(a) Is unlawful, harmful, threatening, abusive, defamatory, or otherwise objectionable;
(b) Infringes any intellectual property or other proprietary rights;
(c) Contains personal information of minors under thirteen (13) years of age;
(d) Contains malicious code, viruses, or harmful components;
(e) Attempts to manipulate, exploit, or circumvent the API's safety features.
10. AI-Generated Content Disclaimer
IMPORTANT: PLEASE READ THIS SECTION CAREFULLY.
10.1 Not Legal Advice
THE API PROVIDES GENERAL LEGAL INFORMATION ONLY AND DOES NOT CONSTITUTE LEGAL ADVICE. Output generated by the API:
(a) Is for informational and educational purposes only;
(b) Does not create an attorney-client relationship;
(c) Should not be relied upon as a substitute for consultation with a licensed attorney;
(d) May not be applicable to any specific situation or jurisdiction.
10.2 AI Limitations
You acknowledge and agree that:
(a) The API uses artificial intelligence technology that has inherent limitations;
(b) Output may contain errors, inaccuracies, outdated information, or "hallucinations" (outputs that appear accurate but are factually incorrect);
(c) The API cannot account for all relevant laws, regulations, or recent legal developments;
(d) Output should be independently verified before any reliance.
10.3 End User Disclosure
If your Customer Application provides Output to End Users, you must clearly and conspicuously disclose to End Users that:
(a) The information is AI-generated;
(b) The information does not constitute legal advice;
(c) The information should not be relied upon without independent verification and consultation with a licensed attorney;
(d) No attorney-client relationship is created by using the Customer Application;
(e) Any communication with the AI system is not privileged or confidential.
These disclosures must be presented before or at the point of interaction with AI-generated content, not merely in your terms of service.
10.4 Indemnification for Output Misuse
You agree to indemnify and hold us harmless from any claims arising from your or your End Users' reliance on Output, including any claims that Output constitutes legal advice or creates an attorney-client relationship.
11. Prohibited Uses
11.1 General Prohibitions
In addition to the restrictions in Section 3.2, you shall not use the API to:
(a) Violate any applicable law, regulation, or third-party rights;
(b) Impersonate any person or entity, or misrepresent your affiliation with any person or entity;
(c) Impersonate a licensed attorney or provide legal advice;
(d) Generate spam, unsolicited communications, or fraudulent content;
(e) Engage in any activity that could harm minors;
(f) Process personal information of children under thirteen (13) or the applicable age of digital consent;
(g) Facilitate illegal activities or promote violence or discrimination;
(h) Interfere with or disrupt the integrity or performance of the API or related systems;
(i) Gain or attempt to gain unauthorized access to any systems, networks, or data;
(j) Access the API from any U.S. embargoed country or in violation of any trade sanctions or export controls.
11.2 Competitive Use
You shall not use the API, Output, or any API Data to develop, train, or improve any product or service that competes with LexAmp or any of our products or services.
11.3 AI Training Prohibition
You shall not use Output or API Data to train, fine-tune, or improve any machine learning model, large language model, or artificial intelligence system without our prior written consent. This includes, but is not limited to:
(a) Using Output as training data;
(b) Using Output to generate synthetic training data;
(c) Using API patterns or responses to improve competing systems.
12. Data Processing
12.1 Your Data
You are the data controller for Input submitted to the API. You are responsible for ensuring that you have all necessary rights, consents, and authorizations to submit Input and to permit us to process it in accordance with these API Terms.
12.2 Our Processing
We process Input solely to provide the API services. We use OpenAI's API as a subprocessor to generate Output. By using the API, you acknowledge and consent to this arrangement.
12.3 Data Retention
(a) API Request Data. We retain API request and response logs for up to ninety (90) days for operational purposes.
(b) Audit Logs. We retain audit logs of API Key operations and billing transactions for up to seven (7) years for compliance purposes.
(c) Anonymized Data. We may retain anonymized or aggregated data indefinitely for analytics and service improvement.
12.4 Data Location
Your data may be processed and stored in Canada and the United States. By using the API, you consent to this transfer. For details, see our Privacy Policy.
12.5 Security
We implement reasonable technical and organizational measures to protect the API and your data. However, no system is completely secure. You acknowledge that you use the API at your own risk.
12.6 Your Rights Under Privacy Laws
Subject to applicable law, you and your End Users may have certain rights regarding personal information, including:
(a) Access. The right to request access to personal information we hold;
(b) Correction. The right to request correction of inaccurate personal information;
(c) Deletion. The right to request deletion of personal information, subject to legal retention requirements;
(d) Withdrawal of Consent. The right to withdraw consent to processing at any time.
To exercise these rights, contact us at [email protected]. We will respond within thirty (30) days as required by PIPEDA and other applicable privacy laws. You are responsible for facilitating your End Users' exercise of these rights with respect to data processed through your Customer Application.
13. Intellectual Property
13.1 Our Intellectual Property
We retain all right, title, and interest in and to:
(a) The API, including all software, algorithms, interfaces, and technology;
(b) The Documentation and all related materials;
(c) Our trademarks, service marks, logos, and brand elements;
(d) All improvements, enhancements, or modifications to the foregoing.
13.2 Feedback
If you provide us with any feedback, suggestions, or ideas regarding the API ("Feedback"), you hereby assign to us all right, title, and interest in such Feedback. We may use Feedback for any purpose without any obligation to you.
13.3 No Implied Rights
Nothing in these API Terms grants you any right to use our trademarks, service marks, trade names, logos, or other brand features without our prior written consent.
14. Confidentiality
14.1 Confidential Information
"Confidential Information" means any non-public information disclosed by either party to the other, including but not limited to:
(a) API Keys and account credentials;
(b) Technical information about the API not publicly documented;
(c) Business information, pricing, and usage data;
(d) Any information marked as confidential.
14.2 Obligations
The receiving party shall:
(a) Use Confidential Information only for purposes of these API Terms;
(b) Protect Confidential Information using at least the same degree of care used to protect its own confidential information, but no less than reasonable care;
(c) Not disclose Confidential Information to any third party without prior written consent, except to employees, contractors, or agents who need to know and are bound by confidentiality obligations at least as protective as these.
14.3 Exceptions
Confidential Information does not include information that:
(a) Is or becomes publicly available through no fault of the receiving party;
(b) Was rightfully in the receiving party's possession before disclosure;
(c) Is rightfully obtained from a third party without restriction;
(d) Is independently developed without use of Confidential Information.
14.4 Required Disclosure
The receiving party may disclose Confidential Information if required by law, provided that it gives the disclosing party reasonable prior notice (to the extent permitted) and cooperates in seeking protective treatment.
15. Term and Termination
15.1 Term
These API Terms are effective upon your acceptance and continue until terminated by either party.
15.2 Termination by You
You may terminate these API Terms at any time by:
(a) Revoking all API Keys;
(b) Disabling Developer Mode; and
(c) Ceasing all use of the API.
Termination does not entitle you to a refund of any API Credits.
15.3 Termination by Us
We may suspend or terminate your API access and these API Terms immediately, with or without notice, if:
(a) You breach these API Terms;
(b) You fail to pay any amounts owed;
(c) We are required to do so by law;
(d) We discontinue the API (subject to Section 15.4);
(e) We determine, in our sole discretion, that your use poses a security risk or may harm us, our users, or third parties.
15.4 Service Discontinuation
If we discontinue the API entirely (not due to your breach), we will:
(a) Provide at least ninety (90) days' advance notice via email and your Developer Dashboard;
(b) Refund any unused API Credits on a pro-rata basis, calculated as of the discontinuation date;
(c) Provide reasonable assistance for data export upon request.
This Section 15.4 does not apply to modifications, feature changes, or partial discontinuation of specific API endpoints.
15.5 Effect of Termination
Upon termination:
(a) All licenses granted hereunder immediately terminate;
(b) You must immediately cease all use of the API;
(c) You must delete all API Keys in your possession;
(d) Any outstanding API Credits are forfeited;
(e) Sections that by their nature should survive termination shall survive, including Sections 9 (Input and Output), 10 (AI-Generated Content Disclaimer), 13 (Intellectual Property), 14 (Confidentiality), 16 (Disclaimer of Warranties), 17 (Limitation of Liability), 18 (Indemnification), and 20 (Governing Law).
16. Disclaimer of Warranties
THE API IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
(a) IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT;
(b) WARRANTIES THAT THE API WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS;
(c) WARRANTIES REGARDING THE ACCURACY, RELIABILITY, COMPLETENESS, OR TIMELINESS OF OUTPUT OR ANY API DATA;
(d) WARRANTIES THAT THE API WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS;
(e) WARRANTIES ARISING FROM COURSE OF DEALING, USAGE, OR TRADE PRACTICE.
YOU ACKNOWLEDGE THAT THE API USES THIRD-PARTY ARTIFICIAL INTELLIGENCE SERVICES THAT MAY PRODUCE INACCURATE, INCOMPLETE, OR ERRONEOUS OUTPUT. WE DO NOT WARRANT THE ACCURACY OR RELIABILITY OF ANY OUTPUT.
17. Limitation of Liability
17.1 Exclusion of Consequential Damages
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL AMPLIMIT INC., ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY:
(a) INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES;
(b) LOSS OF PROFITS, REVENUE, BUSINESS, SAVINGS, OR GOODWILL;
(c) LOSS OF DATA OR DATA BREACH;
(d) COST OF PROCUREMENT OF SUBSTITUTE SERVICES;
(e) ANY DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE API;
EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
17.2 Liability Cap
OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE API TERMS SHALL NOT EXCEED THE GREATER OF:
(a) THE AMOUNTS YOU HAVE PAID TO US FOR API USAGE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR
(b) ONE HUNDRED CANADIAN DOLLARS ($100 CAD).
17.3 Basis of the Bargain
THE LIMITATIONS IN THIS SECTION REFLECT THE ALLOCATION OF RISK BETWEEN THE PARTIES AND ARE AN ESSENTIAL BASIS OF THE BARGAIN BETWEEN US. THE API WOULD NOT BE PROVIDED WITHOUT THESE LIMITATIONS.
17.4 Jurisdictional Limitations
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE ABOVE EXCLUSIONS OR LIMITATIONS MAY NOT APPLY, AND YOU MAY HAVE ADDITIONAL RIGHTS.
18. Indemnification
18.1 Your Indemnification
You agree to indemnify, defend, and hold harmless Amplimit Inc., its affiliates, directors, officers, employees, agents, and licensors from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:
(a) Your use of the API;
(b) Your Customer Applications;
(c) Your violation of these API Terms;
(d) Your violation of any applicable law or regulation;
(e) Your violation of any third-party rights;
(f) Any Input you submit to the API;
(g) Your End Users' use of Customer Applications;
(h) Any claim that Output provided to End Users constitutes legal advice.
18.2 Indemnification Procedure
We will provide you with prompt written notice of any claim subject to indemnification. You shall have sole control of the defense and settlement of such claims, provided that you may not settle any claim that imposes any obligation on us or admits liability on our behalf without our prior written consent.
19. Modifications
19.1 Modifications to API Terms
We may modify these API Terms at any time. We will provide at least thirty (30) days' notice of material changes by:
(a) Email to the address associated with your Developer Account; and/or
(b) Notice in your Developer Dashboard.
Your continued use of the API after the effective date of any modification constitutes your acceptance of the modified API Terms. If you do not agree to the modified API Terms, you must stop using the API.
19.2 Modifications to API
We may modify, suspend, or discontinue the API or any part thereof at any time. We are not liable to you or any third party for any modification, suspension, or discontinuation of the API.
19.3 API Versioning and Deprecation
(a) Version Support. We will maintain support for each major API version for at least twelve (12) months after announcing its deprecation.
(b) Deprecation Notice. Before deprecating any API version or endpoint, we will provide at least ninety (90) days' notice via the Documentation and, where feasible, through API response headers.
(c) Migration Assistance. We will provide migration guides and documentation to help you transition to newer API versions.
20. Governing Law and Dispute Resolution
20.1 Governing Law
These API Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.
20.2 Dispute Resolution
Any dispute arising out of or relating to these API Terms shall be resolved as follows:
(a) Informal Resolution. Before initiating formal dispute resolution, you agree to contact us at [email protected] and attempt to resolve the dispute informally for at least thirty (30) days.
(b) Jurisdiction. If the dispute cannot be resolved informally, either party may commence legal proceedings in the courts of the Province of Ontario, located in Toronto. You hereby consent to the exclusive jurisdiction of such courts.
20.3 Class Action Waiver
YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You waive any right to participate in a class action lawsuit or class-wide arbitration.
20.4 Time Limitation
Any claim arising out of or relating to these API Terms must be filed within one (1) year after the claim arose, or it shall be permanently barred.
21. General Provisions
21.1 Entire Agreement
These API Terms, together with all documents incorporated by reference, constitute the entire agreement between you and us regarding the API and supersede all prior or contemporaneous agreements, communications, and proposals.
21.2 Severability
If any provision of these API Terms is held to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, severed from these API Terms. The invalidity of any provision shall not affect the validity of the remaining provisions.
21.3 Waiver
Our failure to enforce any provision of these API Terms shall not constitute a waiver of that provision or any other provision. Any waiver must be in writing and signed by us.
21.4 Assignment
You may not assign or transfer these API Terms or any rights or obligations hereunder without our prior written consent. We may assign these API Terms without restriction. Any attempted assignment in violation of this section is void.
21.5 Independent Contractors
The parties are independent contractors. Nothing in these API Terms creates a partnership, joint venture, agency, or employment relationship between the parties.
21.6 Force Majeure
Neither party shall be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, government actions, labor disputes, or infrastructure failures.
21.7 Notices
Notices to you may be sent to the email address associated with your Developer Account. Notices to us must be sent to [email protected]. Notices are effective upon receipt.
21.8 Language
These API Terms are drafted in English. If translated into any other language, the English version shall prevail in the event of any conflict.
21.9 Export Compliance
You shall comply with all applicable export control and trade sanctions laws, including those of Canada and the United States. You represent that you are not located in, under the control of, or a national or resident of any country subject to trade sanctions.
